1. Acceptance of Terms

By accessing and using the ElixAI website (elixai.xyz) and our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services. We reserve the right to update or modify these terms at any time without prior notice. Your continued use of our services constitutes acceptance of the updated terms.

2. Services

ElixAI provides AI solutions, intelligent automation, custom software development, and related technology consulting services. The scope, deliverables, timelines, and fees for each project are defined in a separate Statement of Work (SOW) or service agreement mutually agreed upon between ElixAI and the client. These Terms and Conditions apply in addition to any project-specific agreements.

3. Client Responsibilities

• Provide accurate and complete information required for project execution.
• Respond to communications and approval requests in a timely manner.
• Ensure that any data, content, or materials provided to ElixAI do not infringe on third-party intellectual property rights.
• Designate a primary point of contact for project communications.
• Make payments according to the agreed-upon schedule.

4. Intellectual Property

Unless otherwise agreed in writing:

• Upon full payment, the client receives ownership of the custom deliverables created specifically for their project.
• ElixAI retains ownership of any pre-existing tools, frameworks, libraries, and methodologies used during the project.
• ElixAI reserves the right to use general knowledge, techniques, and experience gained during the project for future work.
• All content on the ElixAI website, including text, graphics, logos, and software, is the intellectual property of ElixAI and is protected by applicable copyright laws.

5. Payments & Billing

• Payment terms, schedules, and methods are outlined in the project-specific agreement or invoice.
• Late payments may be subject to a fee of 1.5% per month on the outstanding balance.
• ElixAI reserves the right to suspend services if payments are overdue by more than 15 days.
• All fees are exclusive of applicable taxes unless stated otherwise.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation survives the termination of the agreement. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from a third party.

7. Warranties & Disclaimers

• ElixAI warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.
• We provide a 30-day bug-fix warranty period after project delivery for issues directly related to the delivered scope.
• Our website and its content are provided “as is” without warranties of any kind, express or implied.
• We do not guarantee specific business outcomes, revenue increases, or performance metrics unless explicitly stated in a project agreement.

8. Limitation of Liability

To the fullest extent permitted by law, ElixAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to our services or these terms. Our total liability for any claim shall not exceed the total fees paid by the client for the specific project in question.

9. Termination

• Either party may terminate a project agreement with 15 days written notice.
• Upon termination, the client shall pay for all work completed up to the date of termination.
• ElixAI will deliver all completed work and work-in-progress upon receiving final payment.
• Termination does not affect any accrued rights or obligations of either party.

10. Use of Website

You agree not to:

• Use the website for any unlawful purpose or in violation of these terms.
• Attempt to gain unauthorized access to any part of the website or its systems.
• Reproduce, distribute, or modify any content without our prior written consent.
• Submit false or misleading information through our forms.
• Interfere with or disrupt the website's functionality or servers.

11. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in India.
